Supplier PO Quality Clauses




A.        Packaging: All material covered by this order shall be  packaged and packed for domestic shipment/storage consistent with good commercial practices to ensure that parts are received at the "ship to" address, undamaged, in clean condition, and suitable for immediate use.

B.        Marking: Unless otherwise specified on this order, each line item or its package (when items are shipped unit packaged) must be marked with the Microwave Distributors Company purchase order and line item number. MIL-STD-129 shall be     used where specified, and as a guideline otherwise.

C.        Delivery: This order is subject to cancellation without charge for failure to deliver on time except for causes beyond the Seller’s control.

D.        Partial Quantity Line Item Shipments: Microwave Distributors Company will accept only complete line item quantities of material, except with prior written agreement.

E.        Compliance with the Laws:  The performance of this order Seller, and all goods furnished hereunder, shall comply with all Federal, State and local laws, rules and regulations, including but not limited to, the Occupational Safety and Health Act, The Truth in Negotiation Act.

F.         Quantity Variances: Microwave Distributors Company will not accept increases/overages on this purchase order unless agreed to in writing prior to shipment, and the order must be modified accordingly.

G.        Counterfeit Parts Control: The supplier must provide a Certification of Conformance (C of C) from the Original Component Manufacturer (OCM) for any component or material delivered on this purchase order.  If the supplier is an authorized distributor for the OCM, the supplier’s C of C must state that they are an authorized distributor for the OCM for the exact part(s) supplied against this order.  If any part or material is received and the correct C of C cannot be provided by the supplier, it will be considered Counterfeit and will be impounded (without compensation) until proper disposition is determined.

H.        Specification Compliance Certification:  A Certificate of Compliance shall accompany shipments against this purchase order to certify that: (1): All parts supplied fully comply with all requirements of the applicable drawings and specifications and   (2): Any tests required by the applicable drawings and specifications have been conducted per the applicable AQL sample sizes, and the results are maintained on file by you or your suppliers.

I.          Corrective Action Procedure:  The supplier shall maintain and document a procedure for handling non-conforming material, and to prevent future reoccurrences.

J.         Supplier Quality Control System: When applicable, the supplier shall maintain a quality system IAW MIL-I-45208, or the pertinent section of the ISO standard (ISO 9001, ISO 9002, and/or ISO 9003).

K.        Confidentiality: This order is confidential between Microwave Distributors and the Seller and none of the details within shall be disclosed to any third party.     

L.        Conflict Minerals:  Legislation mandated by the 2012 Dodd-Frank Wall Street Reform and Consumer Protection Act requires companies to publicly disclose their use of conflict minerals that originated in the Democratic Republic of the Congo (DRC) or an adjoining country.  When applicable, the supplier shall certify with a CofC that the product(s) and all sub-tier product(s) contained herein do not have any Tin (SN), Cadmium (CD), or Zinc (ZN) plating as a final finish or as an undercoat.  Furthermore, any Tin-Lead (SN-PB) plating or material (if used) are in accordance with the drawing requirements contains a minimum of three (3) percent Lead (PB) by weight.               

M.       Documentation/Record Retention: The supplier shall retain objective evidence of the item supplied (Manufacturing, assembly, inspection, test, and special process records) for seven (7) years after the purchase order is complete.  These records shall be made available to Microwave Distributors Company upon request.  Records may be archived to an offsite location, but shall remain legible and readily retrievable.  Microwave Distributors Company reserves the right to periodically audit the sellers' historical records, retention policies and practices. 

N.        Foreign Object Debris/Damage Prevention: The supplier shall develop and maintain a Foreign Object Debris/Damage ("FOD") prevention program for manufacturing areas to prevent introduction of foreign objects into any item delivered under this purchase order.  The supplier shall employ appropriate housekeeping practices to assure timely removal of residual/debris generate, if any, during manufacturing operations and/or normal daily tasks.  The supplier shall determine if sensitive areas that may have a high probability for introduction of foreign objects should have special emphasis controls in place appropriate for the manufacturing environment.  The supplier shall determine the need for, and implement, FOD prevention awareness training programs. 

O.        Control and Notification of Non-Conforming Product: Upon discovery, the supplier shall segregate and control non-conforming material to prevent unauthorized shipments of such material to Microwave Distributors Company.  The supplier shall immediately notify Microwave Distributors Company in the event of nonconforming material that cannot be reworked or replaced to purchase order requirements by the supplier.  The supplier shall hold the material until Microwave Distributors Company renders a disposition.  The disposition shall be referenced on the suppliers shipping document with each applicable shipment.

P.       Revision Status:  When applicable, the supplier shall provide current revision status on all products supplied to Microwave Distributors Company.

Q.       Right of Access:   Microwave Distributors Company reserves the right to review control methods and inspect material included in this order at the supplier's plant and at any sub-tier plant.  Access rights shall be extended to our customer and Government or Regulatory Agency representatives.

R.       Non-Conforming Product:  Any non-conforming product must be approved by Microwave Distributors Company prior to shipping.  When preapproved to ship non-conforming material, the acknowledgement letter must be included with the shipment and attached to the packing slip.

S.       Requirement Flow Downs:  The supplier shall insure that requirements be flowed down to sub-tier suppliers, including key characteristics as applicable.

T.       Requirements for Design, Test, Inspection, and Verification:  When applicable, A First Article Inspection Report may be required when the first production units are manufactured.  The report shall include all drawing characteristics and notes, required tolerance range, actual measurement results, and where physical testing is required, the results of the test(s).

U.      Instructions for Acceptance:  The supplier shall maintain a system that will ensure adequate controls over all tools, gages, measuring and testing equipment that will be used for product acceptance in accordance with ISO 9001, ISO 9002, and/or ISO 9003, or equivalent.  Calibrations must be traceable to the National Institute of Standards and Technology (NIST).

V.      Tin Usage:  When applicable, the use of pure tin finishes are strictly prohibited, unless specifically authorized in writing by Microwave Distributors Company.  If the use of pure tin is specified on a Microwave Distributors Company drawing and/or specification, this prohibition is not applicable.
